Amazon Studios in Santa Monica is seeking an Entertainment Attorney to fill a Corporate Counsel role.

In this position, you will handle legal aspects of feature film and television (scripted or unscripted) development, production and distribution, to include structuring, drafting and negotiating a wide range of complicated agreements for above and below-the-line talent, other production related agreements, co-production agreements and distribution agreements. You will be responsible for all legal matters during the course of production, including evaluating rights issues, confirming chain of title and handling clearance matters, guild issues, standards and practices review, and promotion and publicity issues. You will also analyze and interpret contracts and provide thoughtful legal advice on potential risks and issues in a wide range of legal areas, including intellectual property, digital media and regulatory compliance.

BASIC QUALIFICATIONS

· 5 + years of legal experience (with at least two years at a law firm) as a transactional attorney
· Willingness to transition to a new practice are Juris Doctor and membership in good standing in at least one state bar is required

PREFERRED QUALIFICATIONS

· Experience in television (scripted or unscripted) or feature film development and production is preferred but not required
· A mix of law firm and in-house experience
· Ability to demonstrate sound judgment even in ambiguous situations
· Ability to work independently while being able to contribute successfully to cross-functional teams
· Excellent organizational skills; ability to manage multiple projects at once, follow through and meet deadlines
· Strong written and oral communication skills
· Strong analytical and computer skills

Amazon’s Lab126 is looking for a talented attorney with significant transactional experience to join its legal group. You will serve as the primary lawyer responsible for counseling the business on a broad range of commercial and regulatory matters and structuring, drafting and negotiating commercial transactions. You will work directly with the business, serving as primary counsel on a number of commercial transactions, providing day-to-day advice, resolving issues that arise in existing commercial relationships and handling pre-litigation legal disputes and inquiries.

Principal duties include structuring, drafting and negotiating complicated procurement, manufacturing, development, licensing, services and other commercial agreements and providing ongoing legal counseling in a wide range of legal areas, including intellectual property, digital media and regulatory compliance. Some travel, domestic and international, will be required.

BASIC QUALIFICATIONS

· Transactional experience; solid experience negotiating and drafting contracts; strong ability to communicate across multiple business functions, including Operations, Engineering and Compliance
· J.D. degree from a top law school and membership in one state bar is required
· 4+ years of legal experience as a transactional legal counsel, preferably with some portion of that experience in technology and commercial transactions
· 3+ years experience in a top national or international law firm is required

You will serve as the primary lawyer responsible for counseling the business on a broad range of commercial and regulatory matters and structuring, drafting and negotiating commercial transactions. You will work directly with the business, serving as lead counsel on strategic deals , providing day-to-day advice, resolving issues that arise in existing commercial relationships and handling pre-litigation legal disputes and inquiries.
